Open Market Purchase Program

Purpose and Scope

This disclosure describes a discretionary open-market purchase program established by Doma Foundation, a Cayman Islands foundation company, for Gochujang tokens. It is provided for informational purposes only and does not create a contractual obligation to make or continue any purchase.

Beginning on the Effective Date, Doma Foundation intends to use up to 100% of Net Gacha Proceeds, as defined below, to make discretionary open-market purchases of Gochujang tokens through decentralized exchanges.

Doma Foundation currently expects purchases to occur daily. However, the Foundation has not committed to purchase tokens on any particular day, at any particular time or price, or in any minimum amount. It may modify, pause or discontinue the program at any time.

Source and Limit of Funds

Purchases will be funded by Doma Foundation using Net Gacha Proceeds actually received from Gochujang Gacha. The maximum amount available for purchases during each calendar week (Monday 00:00:00 UTC through Sunday 23:59:59 UTC) will be calculated as follows:

100% of the Net Gacha Proceeds actually received by Doma Foundation during that calendar week. "Net Gacha Proceeds" means, in respect of each fulfilled pull of the Gochujang Gacha game contract (0x31AE0C389eA6A193b1e1474f7e751C773F58EDc2) on the Doma network, the USDC pull price paid by the player minus the USDC amount used to fund that pull's prize, in each case only to the extent actually withdrawn by Doma Foundation from the game contract's treasury balance. The game contract caps treasury withdrawals at the balance not owed to pending pulls or player deposits, so escrowed prizes, refundable pending pulls and player deposit balances never form part of Net Gacha Proceeds.

Unused weekly capacity does not expire: any portion of a week's funding limit that is not used carries forward and remains available for purchases in later weeks. In all cases, the aggregate cost of all purchases made under the program will not exceed the aggregate Net Gacha Proceeds actually received by Doma Foundation from the Effective Date. This is a maximum funding limit and not a commitment to use all available proceeds or spend any particular amount.

For purposes of this calculation, refunds, gas costs, execution expenses and other adjustments will be treated as follows:

Refunded pulls generate no Net Gacha Proceeds and are excluded from the calculation (the game contract returns a refunded pull's price to the player before any treasury withdrawal is possible). Network gas fees, decentralized-exchange pool fees, price impact and other execution costs incurred in making purchases are paid out of, and count against, the funding limits described above — they do not increase them. Costs of operating Gochujang Gacha itself (including sponsored-transaction costs) are Foundation operating expenses and neither increase nor decrease the limit.

Execution

Purchases will be made through decentralized exchanges on the Doma network (chain ID 97477) using the following wallet:

Purchases may occur at different times, in different amounts and at different prices. Doma Foundation will not publish exact purchase times or transaction amounts in advance.

Purchases will be subject to Doma Foundation's internal limits, including a maximum aggregate purchase amount per calendar day; a maximum share of the token's recent trading volume (no more than 20% of the trailing 7-day average daily volume in any day); and a per-transaction price-impact limit of 1% per swap. Non-material internal execution controls may be adjusted from time to time without notice, provided the funding limits described in "Source and Limit of Funds" are never exceeded.

For this purpose, trailing 7-day trading volume is measured as the combined swap volume of the following Uniswap v3 USDC/Gochujang token pools on the Doma network:

Transaction records will be publicly available through the wallet and block-explorer link above. Doma Foundation will provide additional purchase information on a weekly basis on this page.

Treatment of Acquired Tokens

Tokens acquired through the program will be held by Doma Foundation in the purchasing wallet identified above. They will not be considered burned, locked or permanently removed from circulation.

Doma Foundation currently intends to hold the acquired tokens. If Doma Foundation later decides to sell, transfer, lock, burn or otherwise materially change the treatment of those tokens, it will update this disclosure before implementing that decision.

No Redemption or Price Support

This program involves purchases through decentralized exchanges. It is not an offer by Doma Foundation to purchase tokens directly from holders and does not give any holder a redemption, repurchase or cash-out right. Doma Foundation does not guarantee:

  • That purchases will occur on any particular day or continue for any particular period;
  • Any minimum purchase amount;
  • Any minimum token price, trading volume or liquidity;
  • That acquired tokens will be burned, locked or permanently removed from circulation; or
  • Any profit, return or increase in token value.

The market value of Gochujang tokens may increase or decrease regardless of the program. No person should purchase or hold Gochujang tokens in reliance on Doma Foundation making or continuing these purchases.

Trading and Communications Controls

Doma Foundation will not coordinate purchases with sellers or knowingly engage in wash trading, self-trading or transactions intended to create a false impression of market activity. Personnel and agents with nonpublic information concerning planned purchases may not use that information for personal or third-party trading. Any purchase funded or directed by Doma Foundation must be described as a Doma Foundation purchase. FireAnt or any other promoter, influencer or execution agent may not characterize Doma-funded or Doma-directed purchases as personal investment activity. Any person promoting the program must accurately disclose their relationship with Doma Foundation and any material economic interest they hold in Gochujang tokens.

Changes and Termination

Doma Foundation may modify, suspend or terminate the program at any time. Material changes will be dated and published at this location before they take effect. Termination of the program does not require Doma Foundation to make any final purchase, dispose of acquired tokens or compensate token holders.
